Terms of service

Acceptance

These terms govern the use of the wmspos.com website and the WMSPos service offered by High Quality Computer & Security Inc. ("WMSPos", "we"). By creating an account, using the service or submitting a request, you accept these terms. If you accept them on behalf of a company, you confirm you have the authority to do so.

If your company signed an agreement or quote with us, that document prevails over these terms wherever they differ.

The service

WMSPos is a management system (ERP, WMS and point of sale) offered as a service: the web system, the register, the mobile app, the customer portal, the local branch server and Nova. Available features depend on the plan you subscribe to. We may improve and change the service; if we remove something important you're using, we'll give you advance notice.

Accounts and users

Each business manages its users, roles and permissions, and is responsible for what is done with its accounts. Keep your credentials and PIN private and tell us right away if you suspect unauthorized access.

Plans, payments and trials

Prices and what each plan includes are those in your quote or the plan you choose. Applicable taxes (such as Puerto Rico sales tax, IVU) are added where they apply. If we offer a trial, its conditions are shown when you sign up. If a payment is past due, we may suspend the service after notifying you; your data is kept while it's resolved.

Acceptable use

When using WMSPos you agree not to:

• Use it for illegal activities or to store data you have no right to.
• Try to access other companies' data, bypass security controls or attack the service.
• Copy, decompile or reverse engineer the software, except as the law allows.
• Resell the service or give third parties access to it without an agreement with us.

Your data

The data you load is yours. You allow us to process it only to provide the service, as explained in the Privacy policy. You can export it while your account is active and when the service ends.

Integrations and third-party services

Some features connect to third-party services you turn on: payment processors (such as AgilPay through Dynamics Payments), online stores (Shopify, Amazon, eBay), suppliers (Orgill, Do it Best) and others. Those services have their own terms and prices, and we're not responsible for their availability or their changes. Card processing is governed by your agreement with the processor.

Equipment and internet

You're responsible for your equipment, your network and your internet connection. The register and the local server keep working without internet and sync when the connection returns; for that they must stay on and up to date.

Taxes, payroll and accounting

WMSPos calculates taxes, payroll and journal entries according to each business's configuration. The business is responsible for reviewing that configuration and the results, and for filing its returns and payments with the agencies (such as the Puerto Rico Treasury Department / SURI or the IRS). The service is not a substitute for advice from an accountant or advisor.

Nova

Nova helps you look up information and use the system, but it can make mistakes. Verify what matters before making decisions; its answers are not professional advice.

Availability and support

We make commercially reasonable efforts to keep the service available and to announce scheduled maintenance. We don't guarantee it will run without interruptions or errors, except as stated in a signed service level agreement.

Intellectual property

The software, the WMSPos brand, Nova and the content of this website belong to us or our licensors. We give you a limited, non-exclusive, non-transferable right to use the service while your account is in good standing. If you give us suggestions, we may use them to improve the service.

Warranties and limitation of liability

To the extent the law allows, the service is provided "as is". We're not liable for indirect damages, lost profits or lost opportunities, and our total liability for any claim is limited to what you paid for the service in the 12 months before the claim.

Cancellation and suspension

You can cancel the service at any time, under the conditions of your plan. We may suspend or terminate an account for breach of these terms or non-payment, after notice where possible. When it ends, we give you a reasonable time to export your data.

Governing law

These terms are governed by the laws of the Commonwealth of Puerto Rico and, where applicable, United States federal law. Any dispute will be heard in the courts of Puerto Rico.

Changes to these terms

If we change these terms, we update the date above and, if the change is significant, announce it before it takes effect. Continuing to use the service after that date means you accept the changes.
